Job Description

Job Purpose & Scope:
The Corporate Contract Manager shall be responsible for the drafting, preparation, negotiation of corporate and commercial documents and management of all (commercial/corporate) contracts and documentation related to strategic relationships / partnerships (agencies and main distributorship), key principals and suppliers as well as key customers. The range of contracts and key relationships to be covered shall be reaching from Group entities, Group level (H.O.) and Joint ventures.

Main Responsibilities:
• Drafting, preparation, negotiation of simple corporate and commercial documents and management of all (commercial/corporate) contracts and documentation related to strategic relationships/partnerships (agencies and main distributorships), key principals and suppliers as well as key customers;
• Summarizing, organizing and archiving of any and all various type of documents and contracts in line with agreed Contracts Management Strategy and Timeframe. This work shall be done on daily basis in order to make sure that relevant documents and contracts are properly achieved in a timely manner;
• Initiation and preparation of upcoming or future business relationship with significant partners by introducing and negotiating drafts (template) contracts with Group entity and business partner;
• Archiving and keeping up to date corporate and commercial documents relevant for Group entities or joint ventures businesses;
• Highlighting and reporting to Group Head of Legal any incident or issues discovered during the practice of the daily tasks and accordingly prepare reports containing the details of such incident and issues discovered. Developing and providing an action plan and recommendations on how to resolve and address best possible those incidents and to avoid in future;
• Communicating and managing with Group entities and joint venture partners the regulation, supervision, updating and audit of contractual relationships the way they develop over time and to assure compliance with the applicable laws, compliance standards and reflecting properly the underlying operational or business relationship of respective parties;
• Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects;
• Working with Group entities and JV partners to help them to build up and maintain their own contract management system;
• Close coordination with the corporate and commercial legal section for all contracts and documents to be drafted for quality control;
• Responds and coordinate to inquiries of ESAG entities and other partners with regard to answering legal questions to contractual documents, recipe and archiving of new documents and contracts, arranging for proper handover of any documents required by any of ESAG entity or partner;
• Develop and implement procedures for contract management and administration in compliance with company policy. As appropriate, contribute to or influence company policies;
• Monitor compliance by company employees with established procedures. Identify areas of recurrent pressure;
• Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation;
• As needed, provide guidance on contract matters to project managers or other operational staff, including training to new project managers and other employees in contracting practices and procedures;
• Monitor transaction compliance (milestones, deliverables, invoicing etc.) for selected key projects;
• Reporting to Group Head of Legal and providing details and statistics of the Contracts Management Section, drafting and providing weekly report including the details of the completed tasks during each day of the week;


Desired Candidate Profile

• Bachelor in Law
• 6 years Post Qualified experience in similar position
• Attention to detail and the ability to spot errors and inconsistencies
• Excellent reading and language comprehension
• Ability to work independently with minimal supervision
• Ability to organize own work to effectively handle all enquiries in a timely manager also under stressful situations
• Ability to communicate effectively at all levels of an organization
• Exceptional communication skills (oral and written)
• Good time management
